The Board of Directors deliberates on strategic decisions with the support of the specialized consultative committees.

Attribution

The Board of Directors determines the orientation of the company's activities and oversees their implementation. It defines all the major strategic, economic, financial and technological orientations concerning the company and also examines any other matters related to the company's operation, governing such affairs through its deliberations.

Composition

Chaired by Henri Proglio, the Board of Directors is composed of :

6 directors appointed by the EDF' Shareholders' Meeting:

Henri Proglio, Chairman and CEO of EDF
Philippe Crouzet, Chairman of the Management Board of Vallourec
Mireille Faugère, Chief Executive Officer of Assistance publique - Hôpitaux de Paris
Michael Jay, Crossbench member of the House of Lords
Bruno Lafont, Chairman and CEO of Lafarge
Pierre Mariani, Executive Director and Chairman of the Management Committee of Dexia

6 directors representing the French State, appointed by decree:

Pierre-Marie Abadie, Energy Director at the General Division for energy and climate attached to the Minister of Ecology, Sustainable Development, Transport and Housing ; to the Minister of Economy, Finance and Industry and to the Minister of Industry, Energy and Digital Economy
Jean-Dominique Comolli, Commissioner of the French State Holdings Agency at the Ministry of Economy, Finance and Industry
Julien Dubertret, Director of the French Budget for the Ministry of the Budget, Public Accounts and State Reform
Yannick d'Escatha, Chairman of the Centre National d'Etudes Spatiales (CNES)
Pierre Sellal, General Secretary of the Ministry of Foreign and European Affairs
François Loos, Chairman and CEO of the French Agency for Environment and Energy Management (ADEME)

Board meetings are also attended by the Head of the French State's Economic and Financial Verification Mission for EDF and the Works Council Secretary, who have no voting rights.
